FIFA EXTRANET GENERAL TERMS & CONDITIONS

Welcome to the FIFA partner support platform, which includes dedicated extranet channels for FIFA Tournaments & Events, FIFA IT, FIFA Marketing, FIFA TV, FIFA TV – Broadcast Information Platform, FIFA Extranet Community, FIFA Member Associations, FIFA IT, FIFA Intranet, FIFA Media Hub, FIFA Referees and the extranet tools FIFA Messaging, FIFA Reporting and FIFA Media Ticketing (collectively and singularly known as the “Extranet”). The Fédération Internationale de Football Association (FIFA) (“FIFA”, “We”, “Our”) grants you access to the Extranet subject to your and your organisation’s acceptance of, and compliance with, the following Terms & Conditions of Service (the “T&CS”).

ACCEPTANCE OF TERMS

By accessing, using and continuing to use the Extranet, You and your organisation explicitly and irrevocably agree to be bound by the T&CS, which You acknowledge that You have read and understood.

FIFA reserves the right, in its sole discretion, to change, modify or otherwise alter these T&CS at any time. You must review these T&CS on a regular basis to keep yourself informed of any changes. All updates shall be legally binding on you and your organisation after being posted on the Extranet.

By using the Extranet, You and your organisation agree that the posting of new or revised T&CS on the Extranet shall constitute adequate and constructive notice to You of any and all revisions and changes. Continued use of the Extranet after any such changes or after explicitly accepting the new T&CS upon logging into the Extranet shall constitute your acceptance of such changes.

In addition, when accessing and using the Extranet, You and your organisation shall be subject to such applicable guidelines and rules which may be posted by FIFA from time to time, and You will be notified of them when you next access the Extranet. All such guidelines and rules are hereby incorporated by reference into the T&CS and are, by your access, use and continued use of the Extranet, explicitly and irrevocably acknowledged and accepted by You and your organisation. To the extent that there is any inconsistency between the T&CS and any guide or rule, the T&CS will prevail. In case of discrepancy between the English, French, Spanish or German versions of these T&CS, or any other content within the website, the English version shall prevail. 

The use of particular FIFA services may be subject to specific terms of service related to the concerned service. In using such services, you and your organisation agree to be bound by the terms then in force. To the extent that there is any inconsistency between the T&CS and any other terms of service, those other terms of service shall prevail in respect of the concerned service.

Unless explicitly stated otherwise, any new features, and You and your organisation’s use thereof, which augment or enhance the current Extranet shall be subject to the T&CS.

USER LOGIN, PASSWORD AND SECURITY

You may be required to provide certain registration information to obtain access to the Extranet. By registering, you represent and warrant that: (i) You are eligible for Extranet access as set forth in these T&CS; (ii) the information which You include as part of the registration process is accurate and not misleading; and (iii) You shall maintain and promptly update any registration data in order to keep it true, accurate, current and complete. If You provide, or if FIFA has reasonable grounds to suspect that you have provided, any information which is untrue, inaccurate, not current or incomplete, or if FIFA otherwise reasonably considers that you have failed to comply with any provisions of these T&CS, FIFA has the right to suspend or terminate your account and refuse you access to any and all current or future use of the Extranet (or any portion thereof).

Access to the Extranet is not restricted to those aged eighteen (18) or over but is restricted to those individuals with the right and authority to act on behalf of an organisation or entity for the purposes of accessing and using the Extranet.

You will require a user login and password to gain access to the Extranet, which shall be supplied to you by FIFA or by your organisation. Such user login and password will only provide You with access to material to which you are entitled. You and your organisation are responsible for maintaining the confidentiality of your user login and password, and are fully responsible for all activities that occur under your user login and password.

You and your organisation agree to: (i) immediately notify FIFA of any unauthorised use of your user login and password and/or any other breach of security; (ii) ensure that You exit and log out from your account at the end of each session; (iii) promptly comply with any user login and/or password change requirements now in existence or hereafter implemented by FIFA; (iv) immediately notify FIFA of any change in the organisation’s information. FIFA is not and will not be liable for any loss or damage arising from your failure to comply with any aspect of the T&CS.

User conduct

By using the Extranet, You and your organisation agree:

(a) not to disrupt or interfere with the security of, or otherwise abuse, the Extranet, or any services, system resources, accounts, servers or networks connected to or accessible through the Extranet or affiliated or linked websites;

(b) not to disrupt or interfere with any other user’s enjoyment of the Extranet or affiliated or linked websites;

(c) not to upload, post, or otherwise transmit through or on the Extranet any viruses or other harmful, disruptive or destructive files;

(d) not to use or attempt to use another’s account, service or system without authorisation from FIFA, or create or use a false identity on the Extranet;

(e) not to transmit through or on the Extranet spam, chain letters, junk mail or any other type of unsolicited mass email to people or entities who have not agreed to be part of such mailings;

(f) not to divulge your user login and password to others either on or off the Extranet; and,

(g) not to attempt to obtain unauthorised access to the Extranet or portions of the Extranet which you are not entitled to access.

In addition, you and your organisation agree that you are solely responsible for actions and communications undertaken or transmitted under your account, and that you and your organisation will comply with all applicable local, state, national and international laws and regulations that relate to your use of or activities on the Extranet. If you are in a jurisdiction which restricts you from accessing the Extranet, you are requested not to access or use the Extranet under any circumstances whatsoever.

OWNERSHIP OF INTELLECTUAL PROPERTY AND USE OF FIFA MARKS

FIFA, the FIFA name, FIFA logos, emblems, mascots of FIFA events, FIFA event marks and product and service names are trademarks and copyright material of FIFA (the “FIFA Marks”). You and your organisation acknowledge and agree that the FIFA Marks are, and shall continue to be, the sole property of FIFA.

The FIFA Marks may only be used strictly in accordance with the terms of the agreement(s) between FIFA and your organisation (the “Agreement”). With regard to the Media Hub, FIFA Marks may only be used strictly for editorial and news reporting purposes and in accordance with FIFA graphic guidelines.

In particular, but without prejudice to the foregoing, all uses of the FIFA Marks must be approved in writing in advance by FIFA. Any failure to comply with these requirements and/or with the terms of the Agreement may make you and your organisation liable towards FIFA and may place your organisation in breach of its Agreement and these T&CS. No information contained on the Extranet shall be construed as granting any licence to use the FIFA Marks.

All copyright and other proprietary rights in any information and/or materials placed on the Extranet belong solely to FIFA. Apart from editorial or news reporting purposes of the FIFA Media Hub, no use may be made of any such information or materials without the explicit and written permission of FIFA and may be withheld at FIFA’s sole discretion.

You and your organisation acknowledge and agree that the Extranet and any necessary software used in connection with the Extranet (the “Software”) contain proprietary and confidential information that is protected by applicable intellectual property and other laws. You and your organisation further acknowledge and agree that content contained in any broadcaster information presented to you through the Extranet is protected by copyrights, trademarks, service marks, patents or other proprietary rights and laws. Except as expressly authorised by FIFA in writing, you and your organisation agree not to modify, rent, lease, loan, sell, distribute or create derivative works based on the Extranet or the Software, in whole or in part.

FIFA reserves the right to remove or amend any information or materials posted on the Extranet at any time and in its absolute discretion.

CONFIDENTIALITY

Other than the editorial material posted on the FIFA Media Hub specifically for users and their organisations to use in their publications for editorial news reporting purposes (the “FIFA Editorial Material”), all information You can access on the Extranet is strictly confidential unless otherwise stated by FIFA and may not be disclosed to the general public. You and your organisation agree to be bound by the same confidentiality obligations which are imposed on your organisation under the terms of its Agreement.

You and your organisation may only reproduce, duplicate, copy, exploit and use any information and materials placed on the Extranet and to which you are entitled to have access for the purposes of the exploitation by your organisation of the rights granted to it by FIFA under the terms of its Agreement and subject to the terms thereof. With regard to the FIFA Media Hub, You and your organisation may only reproduce, duplicate, copy, exploit and use any FIFA Editorial Material for editorial and reporting purposes. Without prejudice to the foregoing, you may not use any such information or materials for personal use or personal gain.

PRIVACY POLICY

The information we collect from you

FIFA collects information when you register for an account. The information collected may include, but is not limited to, the following personal information: email address, last name, first name, country of residence, date of birth, gender, screen name, password, opt-in for FIFA Content preferences and employer (collectively “Personal Data”).

The collection of information and how we use it

The collection and use of Your information will always have a lawful basis, either because it is necessary for Our performance of a contract with You, because You have consented to Our use of Your information or because it is in Our legitimate interests. Specifically, We may use Your data for the following purposes: (i) to enable FIFA to grant You access to the Extranet and provide the Extranet to you in an efficient manner, (ii) to administer your membership, (iii) to enable FIFA to contact you in relation to the Extranet, (iv) to fulfil your requests for any services made through the Extranet, (v) to enable FIFA to check the usage of the Extranet and its effectiveness as a communications tool and to help ensure that you do not miss important communications intended for you, (vi) to provide and improve the Extranet and the services, features and content, (vii) to enable users to enjoy and easily navigate the Extranet, (viii) to enable FIFA to monitor that only authorised parties are accessing the Extranet using your user login and password, and (ix) to enforce the FIFA Extranet Terms and Conditions and as otherwise described to you at the point of collection.

Aggregate information shall also be used to customise the advertising. In using the Extranet, you expressly entitle FIFA to collect and process your information, in particular for such marketing and customisation of the service. You may always revoke your consent by submitting a request to delete your account.

 

International transfer

YOUR INFORMATION IS PROCESSED IN SWITZERLAND, AND MAY BE STORED AND USED ELSEWHERE DEPENDING ON THE LOCATION OF AFFILIATES, BUSINESS PARTNERS, AND OTHER ENTITIES WHO ARE PERMITTED TO ACCESS SUCH INFORMATION UNDER THE TERMS OF THIS PRIVACY POLICY (AND SUCH LOCATIONS OUTSIDE THE EUROPEAN ECONOMIC AREA (“EEA”) MAY INCLUDE COUNTRIES WHICH MAY NOT AFFORD THE SAME LEVEL OF PROTECTION OF SUCH DATA AS THE COUNTRY FROM WHICH YOU PROVIDED THE INFORMATION). If WE DO PROCESS YOUR INFORMATION OUTSIDE THE EEA, WE WILL TAKE ALL REASONABLE STEPS TO ENSURE THAT YOUR INFORMATION IS TREATED AS SAFELY AND SECURELY AS IT WOULD BE WITHIN SWITZERLAND AND UNDER THE SWISS DATA PROTECTION ACT, AS AMENDED FROM TIME TO TIME (“DPA”) AND THE GDPR INCLUDING: PUTTING INTO PLACE DATA PROTECTION AGREEMENTS SUCH AS THE EU MODEL CLAUSES. BY ACCESSING OR USING THE FIFA EXTRANET OR SUBMITTING PERSONAL INFORMATION TO US, YOU SPECIFICALLY AGREE TO THAT TRANSFER AND ANY RELATED PURPOSES.

We use “cookies” when you visit the FIFA Extranet. Please refer to our Cookie Policy

Automatic information

FIFA automatically collects some information about your computer when you visit the Extranet, regardless of whether you have registered for an account or not, by just browsing our servers. For example, FIFA will collect your IP address, web browser software, and referring website. We also may collect information about your online activity on the Extranet. Collecting this information helps FIFA customise your user experience and to monitor and analyse your use of the Extranet and the service. This information is also used for the Extranet’s technical administration and for the optimisation of the Extranet’s usability and functionalities.

Phishing

Identity theft and the practice currently known as “phishing” are of great concern to FIFA. Safeguarding information to help protect you from identity theft is a top priority. We do not and will not, at any time, request your credit card information, Your account ID, login password or national identification numbers in a non-secure or unsolicited email or telephone communication.

Information sharing and disclosure

FIFA may send information about you to other companies or people when:

a) we need to share your information to provide the product or service you have requested; or

b) we provide the information to companies who work on behalf of FIFA under processor agreements providing for the required safeguards for your information in accordance with applicable data protection laws; or

c) we respond to subpoenas, court orders or legal process; or

d) we believe it is necessary, as determined in our sole discretion, to investigate, prevent, or take action regarding illegal activities, suspected fraud, emergency situations involving potential threats to the physical safety of any person, violations of FIFA’s terms of use, or as otherwise required by law.

Security

We want you to feel confident about using the Extranet. For that reason, we have implemented reasonable technical and organisational measures designed to secure your information from accidental loss and from unauthorised access, use, alteration or disclosure. However, the internet is an open system and we cannot guarantee that unauthorised third parties will never be able to defeat those measures or use your information for improper purposes.

If you communicate with FIFA by email, you should note that the secrecy of internet email is uncertain. By sending sensitive or confidential email messages or information which are not encrypted, you accept the risk of such uncertainty and possible lack of confidentiality over the internet.

Your rights

You have the following rights under the DPA and GDPR, which this Privacy Policy and Our use of your information have been designed to uphold:

a)            the right to be informed about our collection and use of information;

b)            the right of access to the information we hold about you;

c)            the right to rectification if any information we hold about you is inaccurate or incomplete;

d)            the right to be forgotten – i.e. the right to ask us to delete any personal data we hold about you (we only hold your personal data for a limited time, but if you would like us to delete it sooner, please contact us);

e)            the right to restrict (i.e. prevent) the processing of your information;

f)             the right to data portability (obtaining a copy of your information to re-use with another service or organisation);

g)            the right to object to us using your information for particular purposes; and

h)            rights with respect to automated decision-making and profiling.

If you have any cause for complaint about our use of your information, please contact us using the contact form here. We may require you to provide verification of your identity. If We are unable to help, you also have the right to lodge a complaint with the Swiss Federal Data Protection and Information Commissioner (“FDPIC”) or the competent Information Commissioner in the EU (where applicable). Please note that in certain circumstances, we may withhold access to your information where we have the right to do so under current data protection legislation.

 

Updating/deleting your information

You may review, correct, update, change or delete Your personal information at any time by accessing Your account on the FIFA Extranet. We will accommodate Your request for deletion, if We do not have any legal obligation to retain the record (for logged-in Users: here).

Links to other sites

If any part of the Extranet links to other websites, those websites do not operate under this privacy policy. If you choose to visit an advertiser or click on another third-party link, you will be directed to that third party’s website. We do not exercise control over third-party websites and therefore recommend you examine the privacy statements posted on these other websites to understand their procedures for collecting, using and disclosing personal information.

Withdrawal of consent

In the event consent was given, you have the right to withdraw such consent given at any time by sending a written notice to Fédération Internationale de Football Association (FIFA), FIFA-Strasse 20, 8044 Zurich, Switzerland or an email to dataprotection@fifa.org.

Changes to this Privacy Policy

This Privacy Policy may be amended from time to time. If we amend this Privacy Policy, any changes will be immediately posted on the FIFA Extranet and You will be deemed to have accepted the terms of the Privacy Policy on your first use of the FIFA Extranet following the alterations. We shall place an updated version on this page of the FIFA Extranet. The FIFA Extranet may also provide notices of changes to this Privacy Policy or other matters by displaying notices or links to notices to you generally on or within the FIFA Extranet.

Precedence

In the event that the provisions of this Privacy Policy conflict with the provisions of a third-party Privacy Policy on the FIFA Extranet, the provisions of this Privacy Policy shall prevail.

Waiver

Finally, you herewith unconditionally and irrevocably waive any and all claims against FIFA, its officers, directors, employees, representatives, affiliates, auxiliaries and partners resulting from any decision in connection with the submitted data. The processing of the Personal Data shall not exceed the scope described or implied herein.

FIFA believes it is necessary, as determined in FIFA’s sole discretion, to investigate, prevent, or take action regarding illegal activities, suspected fraud, emergency situations involving potential threats to the physical safety of any person, violations of FIFA’s terms of use, or as otherwise required by law, or to enforce the T&CS.

INDEMNITY

You and your organisation agree to indemnify and hold FIFA and its subsidiaries, affiliates, licensors, licensees, officers, agents, co-branders and other partners, and employees, harmless from any all liabilities, losses, damages, claims, penalties, fines, costs and expenses, including, without limitation, reasonable attorney’s fees that may arise in connection with: (i) your use of and access to the Extranet including, without limitation, any content contained within the Extranet and your connection thereto; (ii) your failure to comply with any provision of the T&CS; or (iii) any claim by a third party that you or your organisation’s use of, or access to, the Extranet infringes the intellectual property, or other proprietary or privacy rights of such third party, or has otherwise caused damage to a third party.

MODIFICATIONS TO SERVICE

FIFA reserves the right at any time and from time to time, in its sole discretion, to modify or discontinue, temporarily or permanently, the Extranet (or any part thereof) with or without notice to you. You and your organisation agree that FIFA shall not be liable to you, your organisation or to any third party for any modification, suspension or discontinuance of the Extranet. Although FIFA will take reasonable care in ensuring the content is up to date, any of the content may be out of date at any given time, and FIFA is under no obligation to update such content.

TERMINATION

You and your organisation agree that FIFA, in its sole discretion, may terminate your user login, password and/or account (or any part thereof) for any reason whatsoever including, without limitation, for lack of use of the Extranet or if FIFA believes that you have violated or acted inconsistently with the letter or spirit of these T&CS. You and your organisation agree that any termination of your access to the Extranet under any provision of these T&CS may be effected without prior notice, and acknowledge and agree that FIFA may immediately deactivate or delete your account and all related information and files in your account and/or bar any further access to such files or the Extranet. Further, you and your organisation agree that FIFA shall not be liable to you, your organisation or any third party for any termination of your access to the Extranet.

LINKS

The Extranet may contain links to other websites or resources. Because FIFA has no control over such sites and resources, you and your organisation acknowledge and agree that FIFA is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any content, advertising, products, or other materials or information on or available from such sites or resources. You and your organisation further acknowledge and agree that FIFA shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods or services available on or through any such site or resource.

In the event that you wish to establish a link to the Extranet, you and your organisation expressly agree: (a) to obtain the prior written consent of FIFA; (b) to only do so from your organisation’s internal website and never from any website or part of a website accessible by the general public; (c) not to create any third-party association with the Extranet; (d) to ensure that the link does not state or imply that FIFA sponsors or endorses any other activity on the website containing the link or any company or entity (without FIFA’s prior written permission), or presents FIFA and/or its activities in a false, misleading, defamatory or derogatory manner; and (e) to only use the FIFA Extranet logo with the prior written consent of FIFA.

The link to the Extranet does not permit you and your organisation to use any FIFA and/or third-party content, names, logos, pictures or trademarks, unless separately and previously agreed to in writing by the relevant rights-holder.

DISCLAIMERS

You and your organisation expressly acknowledge and agree that:

You may only use the content of the Extranet for the purposes of the exploitation of the rights granted to you and your organisation by FIFA under the terms of its Agreement. With regard to the FIFA Media Hub, you may only use its content for editorial and news reporting purposes. Insofar as any use you make of such content is for any other purpose, to the fullest extent permitted by applicable law, FIFA expressly disclaims and you waive all warranties, conditions and other terms of any kind, whether express or implied, including, but not limited to any implied term of merchantability, satisfactory quality, fitness for a particular purpose, and any term as to the provision of services to a standard of reasonable care and skill or as to non-infringement of any intellectual property right.

FIFA makes no warranty or representation that (i) the Extranet will meet your requirements, (ii) the Extranet will be uninterrupted, timely, secure, or error-free, (iii) the results that may be obtained from the use of the Extranet will be accurate or reliable; (iv) the quality of any products, services, information, or other material purchased or obtained by you or your organisation through the Extranet will meet your expectations; (v) any defects in the Extranet or its content will be corrected.

If you access and use the Extranet and/or its content, you do so at your and your organisation’s sole risk. The Extranet and its content is provided on an “as is” and “as available” basis. Any material downloaded or otherwise obtained through the use of the Extranet, or any feeds from it, is done so at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data that results from the download of any material through the Extranet.

FIFA disclaims any warranty or representation that confidentiality of information transmitted through the Extranet will be maintained. No advice or information, whether oral or written, obtained by you or your organisation from FIFA or through the Extranet shall create any warranty not expressly stated in writing, and FIFA disclaims all liability and responsibility arising from any reliance placed upon such information by any visitor to the Extranet or by anyone who may be informed of its contents.

Some jurisdictions do not allow the limitation or exclusion of certain warranties or conditions, so some of the above exclusions may not apply to you or your organisation.

LIMITATION OF LIABILITY

You and your organisation expressly acknowledge and agree that FIFA and its parents, subsidiaries, affiliates, officers, directors, employees, agents and suppliers shall not be liable for any direct, indirect, incidental, special, consequential or exemplary damages, including but not limited to, costs, expenses, damages for loss of profits, goodwill, use, data or other intangible losses (even if FIFA has been advised of the possibility of such damages), resulting from: (i) your use of or inability to use the Extranet; (ii) any failure on your part to access any materials or information which has been posted on the Extranet so as to enable you to access it; (iii) any unauthorised access to and/or use of the Extranet by any third party; (iv) statements or the conduct of any third party in relation to the Extranet; (v) any matter relating to the content of the Extranet; (vi) your failure to comply with any provision of these T&CS; or (vii) any other matter relating to the Extranet.

You and your organisation agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Extranet or these T&CS must be filed within one (1) year of such claim or cause of action arising or be forever barred.

EXCLUSIONS AND LIMITATIONS

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations of the previous two sections may not apply to you and your organisation.

In particular, nothing in these T&CS shall exclude or restrict any liability for death or personal injury arising from the negligence or fraud of FIFA or any other liability which cannot be excluded or limited under applicable law.

NOTICES

Notices by FIFA to you/your organisation may be made either by posting such notices on the Extranet or via email. You/your organisation hereby explicitly accept that such notices shall have binding effect immediately upon their posting on the Extranet and/or upon being sent to you/your organisation via e-mail.

If FIFA amends these T&CS in any way, FIFA shall place an updated version on this page of the Extranet which shall have binding effect upon you immediately upon their posting.

GENERAL INFORMATION

These T&CS (including the Agreement, guides and rules referred to herein) constitute the entire agreement between you/your organisation and FIFA governing your use of the Extranet, superseding and extinguishing any prior agreements, arrangements, undertakings of any nature between you/your organisation and FIFA, whether oral or written in respect of the Extranet.

Any disputes in connection with these T&CS shall be resolved in accordance with the terms of your organisation’s Agreement. As a representative of your organisation and by accepting these T&CS, you are also bound by the terms of your/your organisation’s Agreement and these T&CS supplement the terms of the Agreement with respect to the use of the Extranet.

For the avoidance of doubt, these T&CS are not intended to and do not amend the terms of the Agreement between FIFA and you/your organisation. Any issue, concern or enquiry in relation to these T&CS may be sent by sending an e-mail using the “Feedback” option located in the footer of this page.

Any failure by FIFA to exercise or enforce any right or provision of the T&CS shall not constitute a waiver of such right or provision.

If any provision of the T&CS is found to be invalid, the parties nevertheless agree that the parties’ intentions, as reflected in the provision, shall be given effect to the fullest extent practicable, and the other provisions of the T&CS remain in full force and effect. The section titles in the T&CS are for convenience only and have no legal or contractual effect.

You may not assign or transfer any of your rights or obligations, or subcontract the performance of any of your obligations, under these T&CS. Notwithstanding the foregoing, FIFA may assign or transfer any right or obligation, or subcontract the performance of any of its obligations, under these T&CS to any third party at any time without your consent (such consent hereby being given).

These T&CS have been drafted in English and have been translated into other languages. In the event of any discrepancy between the English and the translated texts, the English text shall prevail and be used to solve doubts of interpretation.

VIOLATIONS, QUESTIONS & SUGGESTIONS

Please report any violations of these T&CS or any questions or problems or suggestions to the Extranet Project Team, FIFA-Strasse 20, 8044 Zurich, Switzerland.

Violations of these T&CS with regard to the FIFA Media Hub as well as any questions or problems or suggestions regarding the FIFA Media Hub shall be reported to the Media Hub Team, FIFA-Strasse 20, 8044 Zurich, Switzerland (mediachannel@fifa.org).

APPLICABLE LAW & ARBITRATION

The T&CS and the relationship between you and FIFA shall be governed by, and interpreted in accordance with, the laws of Switzerland to the exclusion of any choice of law principles and to the exclusion of the Vienna Convention on Contracts for the International Sale of Goods.

All disputes in connection with these T&CS are to be promptly settled between the parties by negotiation. If no solution can be reached, such disputes shall, to the exclusion of any court or other forum, be exclusively resolved by an arbitral tribunal consisting of three (3) arbitrators under the auspices of, and pursuant to, the Swiss Rules of International Arbitration of the Swiss Chambers of Commerce. The seat of the arbitration shall be Zurich, Switzerland and the language of the proceedings shall be English. For the avoidance of any doubt, any determination made by the arbitral tribunal shall be final and binding on the parties.
